By accessing or using the Forgent platform ("Platform"), you agree to these Terms of Service ("Terms") and our Privacy Policy. If you disagree with any part of these Terms, do not use our Platform.

2. Description of Service

Forgent connects job seekers with employers in the financial services industry through AI-powered matching, assessments, video interviews, and communication tools.

3. User Accounts and Eligibility

Account Requirements

  • You must be at least 18 years old
  • Provide accurate, complete information
  • Maintain confidentiality of your credentials
  • Comply with all applicable laws and regulations

User Types

  • Job Seekers: Individuals seeking employment in financial services
  • Employers: Companies seeking qualified candidates
  • Premium Users: Subscribers to enhanced features

4. Terms for Job Seekers

Profile and Applications

You may:

  • Create profiles and upload resumes
  • Participate in AI matching and assessments
  • Apply to relevant positions
  • Communicate with potential employers

Professional Standards

You agree to:

  • Provide truthful information about your qualifications
  • Maintain professional conduct in all interactions
  • Comply with industry regulations and licensing requirements
  • Respect confidentiality of shared information

5. Terms for Employers

Platform Use

You may:

  • Create company profiles and post positions
  • Access matched candidate profiles
  • Conduct assessments and interviews
  • Communicate with potential hires

Compliance Obligations

You agree to:

  • Verify candidate qualifications independently
  • Comply with equal opportunity employment laws
  • Maintain fair recruitment practices
  • Protect confidentiality of candidate information

Data Usage Restrictions

You shall not:

  • Use candidate data for purposes other than hiring
  • Share candidate information with third parties without consent
  • Store data beyond necessary business purposes
  • Discriminate based on protected characteristics

6. Content and Data Rights

Your Content

You retain ownership of content you submit but grant us a worldwide, non-exclusive, royalty-free license to use your content for:

  • Platform operations and matching services
  • AI algorithm training and improvements
  • Analytics and service enhancements
  • Communication between users

Platform Content

All Forgent content, including algorithms and software, remains our proprietary property.

AI and Machine Learning

When you interact with our AI features:

  • You retain ownership of your submissions
  • We own generated responses and may use them to improve services
  • Similar responses may be generated for other users
  • You're responsible for evaluating accuracy of AI-generated content

7. Financial Services Industry Requirements

Licensing and Compliance

  • Users must comply with all applicable licensing requirements
  • We do not verify professional licenses or regulatory compliance
  • State licensing requirements vary and are your responsibility
  • Ensure compliance with FINRA, state insurance regulations, and federal laws

Industry-Specific Conduct

Prohibited activities include:

  • Providing false licensing or qualification information
  • Violating professional conduct standards
  • Engaging in activities that compromise industry integrity
  • Using the Platform for unauthorized financial services

8. Fees and Payment

Fee Structure

  • Employer Fees: Placement fees and SaaS subscriptions as posted on our Platform
  • Premium Services: Enhanced features available for additional fees
  • Future Fees: We may introduce new fee types with notice

Payment Terms

  • Fees are non-refundable except for technical issues
  • Payment is due immediately unless otherwise agreed
  • You're responsible for applicable taxes

9. Prohibited Conduct

You may not:

  • Provide false or misleading information
  • Harass, discriminate against, or abuse other users
  • Use automated tools without permission
  • Attempt to circumvent security measures
  • Violate applicable laws or regulations

10. Privacy and Data Security

Your privacy is governed by our Privacy Policy. By using our Platform, you consent to data collection, use, and sharing as described in our Privacy Policy and these Terms.

11. Platform Availability

We strive to maintain service availability but do not guarantee uninterrupted access. We may experience maintenance, technical difficulties, or force majeure events beyond our control.

12. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTIES. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not guarantee:

  • Job placements or hiring success
  • Accuracy of user-provided information
  • Continuous platform availability
  • Specific matching results

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF $500 OR THE AMOUNT YOU PAID US IN THE PRECEDING 12 MONTHS.

WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR BUSINESS OPPORTUNITIES.

14. Indemnification

You agree to defend, indemnify, and hold us harmless from claims arising from:

  • Your use of the Platform
  • Your violation of these Terms
  • Your violation of third-party rights
  • Content you submit to the Platform

15. Termination

By You

You may terminate your account at any time by contacting support or using account deletion features.

By Us

We may terminate accounts for violations of these Terms, with or without notice.

Effects

Upon termination, your license to use the Platform ends, but our rights to previously submitted content continue as described in Section 6.

16. Dispute Resolution

Governing Law

These Terms are governed by Delaware law without regard to conflict of law principles.

Arbitration Agreement

Any disputes will be resolved through binding arbitration rather than in court. This includes all claims related to these Terms, your use of our Platform, or your relationship with Forgent.

Arbitration will be conducted under the Commercial Arbitration Rules of the American Arbitration Association in Delaware.

Class Action Waiver

You waive your right to participate in class actions. All disputes must be brought individually.

Jury Trial Waiver

You waive your right to a jury trial in any legal proceeding.

Opt-Out

You may opt out of arbitration by emailing legal@forgent.com within 30 days of first accepting these Terms.

17. General Provisions

Entire Agreement

These Terms and our Privacy Policy constitute the entire agreement between you and Forgent.

Modifications

We may modify these Terms with notice. Continued use after changes constitutes acceptance.

Severability

If any provision is unenforceable, the remaining provisions continue in effect.

Assignment

You may not assign these Terms without our consent. We may assign our rights freely.
